1. Acceptance of Terms

By accessing or using the OnStaff Special Ed platform (the “Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Services Description

OnStaff Special Ed is a marketplace platform connecting Speech-Language Pathologists (“SLPs”) with K-12 school districts (“Districts”) seeking contract staffing. OnStaff facilitates introductions, booking, hour tracking, and payment; it is not a party to the service agreement between SLPs and Districts.

3. User Accounts

SLP Accounts. Individuals licensed as Speech-Language Pathologists in at least one U.S. state may register for an SLP account. Credentials are verified before profiles are made visible to Districts.

District Accounts. Authorized representatives of U.S. K-12 public, charter, or private school districts may register for a District account. Additional verification may be required before posting needs or booking SLPs.

4. SLP Obligations

SLPs must maintain valid, unrestricted licensure in the states where they provide services; accurately represent their credentials, specialties, and availability; and comply with all applicable laws, including state and federal privacy regulations governing student records.

5. District Obligations

Districts must provide accurate information about assignments, confirm or dispute logged hours within 48 hours, and pay all platform fees in accordance with the selected payment track (card or invoice).

6. Payment Terms

Districts pay for SLP services plus a platform commission. Card payments are processed immediately via Stripe. Invoice payments are Net 30 from the date of invoice issuance. Late payments accrue interest at the rate permitted by applicable law.

7. Commission Structure

OnStaff charges a commission on each confirmed booking, calculated as a percentage of the contract value. The commission rate is locked at the time of booking creation and displayed to the District before confirmation. Current standard rates are disclosed on our pricing page and in your account dashboard.

8. Dispute Resolution

Disputes over logged hours, service quality, or payment will first be addressed through OnStaff's in-platform dispute process. Unresolved disputes will be handled under the governing-law provisions below.

9. Limitation of Liability

To the maximum extent permitted by law, OnStaff Special Ed, Inc. is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total liability in any matter will not exceed the fees paid to us by you in the twelve months preceding the event giving rise to the claim.

10. Termination

Either party may terminate their OnStaff account at any time via the account settings. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or pose a risk to the platform or its users.

11. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email and in-app notification. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal action must be brought in the state or federal courts located in Travis County, Texas.
